Racines

Scope: These Terms of Sale (hereinafter "TOS") apply to paid subscriptions offered by Racine to professional users (producers, merchants, artisans) who wish to use the paid features of the Platform.

1. Definitions

Racine: company publishing the Platform, Matteo RIBARDIERE (SIREN: 923976054). Platform: web and mobile application available at https://racineapp.com, published by Racine. Producer: professional user offering goods or services through the Platform. User / Consumer: natural or legal person purchasing products presented on the Platform. Subscription: paid offer subscribed to by the Producer to access features (Pro, Territory, Enterprise, Student, Plus, etc.). Commissions: percentage withheld by Racine on sales made via the Platform. Public authority: public entity (municipality, departmental council, region, public institution) contracting under specific terms.

2. Purpose

These TOS define the conditions under which Racine markets and provides subscriptions granting access to services offered on the Platform. They also specify the commission policy applied to sales made through the Platform.

3. Offers, pricing and subscription plans

3.1 Currently available offers: Racines (B2C): Classic (free account; checkout service fee 6.9% + EUR 0.60 per order, minimum EUR 0.60), Student (free account with verification, coming soon; 3.9% + EUR 0.50, minimum EUR 0.50), Premium (EUR 4.90/month; 2.9% + EUR 0.50, minimum EUR 0.50). Racines Pro: EUR 6.90/month or EUR 64.90/year, 0% sales commission. Pro add-on (optional, coming soon): accounting exports + VAT + advanced invoicing at EUR 9/month. Racines Territory (yearly): EUR 2,490 (<= 5,000 inhabitants / 15 producers), EUR 4,690 (5,000-20,000 / 50 producers), EUR 6,490 (20,000-100,000 / 200 producers), then custom quote above; 0% commission; additional producer pack +EUR 300/year per block of 25 producers. Racines Enterprise: single offer at EUR 249/month (excl. VAT where applicable) + usage fee of 0.5% capped at EUR 89 per order (optional fixed EUR 0.50 per order). Offer names, features, and prices may change. The applicable price is the one displayed at subscription/checkout time. 3.2 Public authority offers: offers intended for public authorities are contractual and managed through a specific master agreement (outside the Stripe payment system). See the "Special conditions - Public authorities" section.

4. Subscription and validation

Subscription is completed via the online form and requires creation of a Producer account. Any order implies acceptance of these TOS by the Producer and a payment commitment. Subscription validation is evidenced by an email containing confirmation and an electronic invoice.

5. Prices and taxes

Prices are indicated in euros (EUR), all taxes included. Racine reserves the right to apply applicable taxes and contributions under legislation in force at the time of invoicing.

6. Payment terms

Payments are made online through the indicated payment provider (e.g., Stripe). The Producer guarantees they are authorized to use the selected payment method. Racine may offer several payment methods (bank card, direct debit, bank transfer for public authority invoicing); these modalities are specified at subscription time.

7. Invoicing and supporting documents

An electronic invoice is issued for each subscription payment. For sales made through the Platform, Racine may issue supporting documents related to commissions withheld; invoicing of sales to consumers is carried out by the Producer, unless otherwise contractually provided.

8. Commissions, payouts and flow management

8.1 Racines B2C offers: service fees are charged at checkout based on the selected formula (Classic: 6.9% + EUR 0.60 min. EUR 0.60; Student, coming soon: 3.9% + EUR 0.50 min. EUR 0.50; Premium: 2.9% + EUR 0.50 min. EUR 0.50, plus EUR 4.90/month Premium subscription). 8.2 Producer/Public authority offers: Racines Pro applies 0% sales commission (subscription EUR 6.90/month or EUR 64.90/year). Racines Territory applies 0% commission with yearly tiered subscription; additional capacity can be enabled through producer packs (+EUR 300/year per block of 25). 8.3 Enterprise offer: EUR 249/month subscription (excl. VAT where applicable) and usage fee at 0.5% capped at EUR 89 per order; an optional fixed EUR 0.50 per order component may be contractually enabled. 8.4 Payout terms: payouts to Producers are made according to a schedule shown in the Producer space (generally within 7 to 30 business days), net of applicable commissions and payment fees. Detailed payout terms (frequency, thresholds, banking fees) are specified in the Producer space and may be governed by a separate contract depending on the subscribed offer.

9. Right of withdrawal (subscription)

In accordance with regulations, the Producer benefits from a fourteen (14) day withdrawal right from the subscription date. To exercise this right, the Producer must contact support@racineapp.com and provide identity details and request specifics. The withdrawal right does not apply if the Producer expressly requested service execution to begin before the end of the 14-day period and Racine fully performed the service.

10. Refunds

Unless otherwise provided or in a specific promotion, subscriptions are payable in advance. In case of valid withdrawal under legal conditions, Racine will refund amounts received within 14 days after receipt of the request. No pro rata refund is made for periods already started, except by express decision of Racine or in specific cases (billing error, proven fraud).

11. Suspension, termination and non-payment

Racine reserves the right to suspend or terminate a Producer's access in case of non-payment, fraudulent use, or breach of these TOS or the TOU. Termination takes effect at the end of the already paid period; however, in case of serious breach, Racine may suspend access immediately.

12. Producer obligations

The Producer undertakes to provide accurate and up-to-date information; comply with applicable regulations (notably food safety, traceability, consumer law); deliver products in accordance with what is stated on the Platform; and manage invoicing and customer relationship for completed sales. The Producer guarantees they hold all necessary rights for the products offered and for published content (images, texts).

13. Liability and limitation

Racine acts as a technical intermediary. Racine cannot be held liable for products marketed by Producers, disputes related to product quality, compliance, delivery, or safety, or for indirect, intangible, or unforeseeable damages. Racine's liability is limited to the subscription amount paid by the Producer for the current period.

14. Data protection

Data processing is described in the attached Privacy Policy. Producers acknowledge that data required to execute their services (account data, transactions, history) is processed by Racine and its providers (Stripe, hosting provider, etc.).

15. Intellectual property

Each party retains ownership of its content. The Producer grants Racine a non-exclusive, worldwide, royalty-free license limited to use of content necessary for publishing, displaying, and promoting products on the Platform.

16. Force majeure

Racine's obligations are suspended in case of force majeure event under French case law.

17. Changes to the TOS

Racine reserves the right to amend these TOS. Changes become applicable upon publication on the Platform and/or notification to the Producer.

18. Governing law and competent jurisdiction

These TOS are governed by French law. Any dispute related to their interpretation or execution shall be submitted to the competent courts within the jurisdiction of Racine's registered office, unless mandatory public policy provisions provide otherwise. Clermont-Ferrand, France.
